Terms & Conditions

Short version: a5c provides Git‑native AI agents that act only through GitHub issues and pull requests. You stay in full control of your repositories and merges. Use the service responsibly. We provide the service “AS IS”, with limitations on liability.
1. Acceptance of Terms
By accessing or using the a5c application, website, or related services (collectively, the “Service”), you agree to these Terms & Conditions (the “Terms”). If you use the Service on behalf of an organization, you have authority to bind that organization to these Terms.
2. Who We Are
The Service is provided by a5c.ai (the “Company”).
3. Service Description (Git‑native agents — pull request–based)
- The Service installs Git‑native agents that operate within your existing GitHub workflows.
- Agents work through issues and pull requests (PRs). Agents do not push directly to protected branches and do not bypass your repository protections.
- Operation modes:
- Manual (human‑in‑the‑loop): Agents open issues/PRs for your review. You decide what to merge.
- Autonomous: Where enabled by you, agents may autonomously open issues and PRs and merge into their own dedicated agent branches. They do not bypass your primary branch protections, and you retain control over merging into main or other protected branches.
- You (and your collaborators) review, approve, and merge changes. You can accept, modify, or decline agent proposals at any time.
- Agents act only within the scopes and permissions granted to the a5c GitHub App and do not control your repositories outside PR/issue flows.
- The Service may include integrations, dashboards, and tools to help you review diffs, tests, and CI/CD signals.
4. Accounts and Eligibility
Use of the Service requires a GitHub account and installation/authorization of the a5c GitHub App with the requested permissions. You are responsible for your credentials, access controls, and repository settings.
5. Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, or abusive activities, or to violate intellectual property, privacy, or other rights.
- Submit or prompt agents to create content that is illegal, infringing, or malicious.
- Attempt to circumvent repository protections or the Service’s security and rate limits.
- Misuse the Service in ways that degrade or impair others’ use.
You must also comply with GitHub’s terms, policies, and applicable third‑party terms.
6. Intellectual Property and Ownership; Patents Pending
- The Service, including software, models, agent prompts/behaviors, documentation, and branding are owned by the Company and its licensors. All rights not expressly granted are reserved. Certain aspects of the Service may be covered by pending patent applications.
- You retain ownership of your repositories, code, and content. By using the Service, you grant the Company the permissions necessary to operate the Service (for example, to read/write via PRs/issues as authorized by you) solely to provide the Service to you.
- Feedback is voluntary; the Company may use feedback without obligation, provided it does not disclose your confidential information.
7. Pricing and Changes to Plans
- The Service is currently free. The Company may introduce paid plans, usage limits, or enterprise offerings in the future.
- If pricing changes are introduced, the Company will provide reasonable notice in advance, and you may choose to continue, change plan, or stop using the Service.
- Third‑party costs: Using the Service may cause you to incur charges from third‑party providers (e.g., GitHub usage/billing, CI/CD, cloud services, or model/LLM API providers). You are responsible for such third‑party costs and acknowledge this before using the Service.
8. Changes to the Service and Terms
- The Company may modify features, interfaces, or integrations to improve security, reliability, or usability. Material changes will be communicated via release notes/CHANGELOG.
- The Company may update these Terms. Continued use after updates constitutes acceptance. If you do not agree, discontinue use.
9. Third‑Party Services
The Service depends on third‑party platforms and providers (e.g., GitHub, CI/CD, cloud services). Their terms and availability apply. The Company is not responsible for third‑party outages or changes.
10. Security
The Company aims to operate with prudent security practices and least‑privilege access through GitHub App scopes. You are responsible for your repository access controls, branch protections, secrets, and backups.
11. Suspension and Termination
The Company may suspend or terminate access (with or without notice) if necessary for security, legal compliance, prevention of abuse, or violation of these Terms. You may stop using the Service at any time by uninstalling the GitHub App and discontinuing use.
12. Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR REPUTATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, THE COMPANY IS NOT LIABLE FOR OUTCOMES ARISING FROM AGENT ACTIONS OR USER PROMPTS, INCLUDING CHANGES TO CODE OR REPOSITORIES, MERGES, REJECTIONS, REVERTS, OR DELETIONS; FOR USER CONFIGURATION OF REPOSITORY PERMISSIONS, BRANCH PROTECTIONS, OR CI SETTINGS; OR FOR THIRD‑PARTY PLATFORM OUTAGES OR CHANGES. YOU ARE RESPONSIBLE FOR REVIEWING DIFFS, TEST RESULTS, AND BACKUPS BEFORE MERGING.
IN ALL CASES, THE COMPANY’S AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU (IF ANY) FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.
14. Indemnification
You will defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your misuse of the Service, your content, or your violation of these Terms or applicable law.

16. Governing Law and Jurisdiction
These Terms and any dispute or claim arising from or related to them or the Service are governed by the laws of the State of Israel, without regard to conflict of laws principles. The courts of Tel Aviv‑Yafo, Israel will have exclusive jurisdiction and venue, and you consent to personal jurisdiction there, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.
17. Miscellaneous
- Assignment: You may not assign these Terms without the Company’s consent. The Company may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- Entire Agreement: These Terms constitute the entire agreement regarding the Service and supersede prior or contemporaneous agreements on the same subject.
- No Waiver: Failure to enforce a provision is not a waiver.
